为保护双方的商业秘密，本着公平合理、平等互利的原则，双方经友好协商达成如下保密协议：
ToprotectcommercialsecretesofPartyAandPartyBhereof，followingtheprincipleoffairness,equityandmutualbenefit,thetwopartiesinvolvedherebyreachthisnon-disclosureagreement:
1、甲方提供给乙方的任何资料均属于甲方的商业秘密，乙方负有保密义务。乙方负有保密义务的甲方商业秘密的范围包括但不仅限于如下陈述对象：
AlltheinformationprovidedbyPartyAtoPartyBareinthescopeofcommercialsecrets,andPartyBhastheobligationtokeepthemconfidential.ThescopeofcommercialsecretsofPartyAthatPartyBhastheobligationstokeepconfidentialincludesbutisnotlimitedtothefollowings:
1.1模具合同（包含品种，规格，数量、价格因素，交期等信息）、模具检验标准及产品检验标准；
moldcontract(includingvariety,specification,quantityandpricefactor,deliverydate,etc.),moldinspectionstandardandproductinspectionstandard;
1.2与产品零件有关的任何资料、参数、图纸、夹具、工装等；
Allinformation,parameters,drawings,fixturesandtoolsconcerningpartsoftheproduct;
1.3涉及甲方产品的外观、功能等方面的模型、样机；
modelsandsamplesofproductsconcerningappearanceandfunctionofPartyA;
Anyproductmarkedwith“OPPO”orequivalentsignsincludingICcard,LCDdisplay,packingmaterialsuchascolordispenser,productmanual,handbag,advertisingproductandcasing;
1.5甲方提供的模具技术、模具专利、产品专利、开发的系统流程；
moldtechnology,moldpatent,productpatentandsystemflowofdevelopmentprovidedbyPartyA;
1.6在乙方正在生产的甲方的模具状况、生产机型、订单明细（包括颜色、数量、交期等）等细节；
InformationofmoldproducedbyPartyB,productmodel,detailedinformationofpurchaseorder(includingcolor,quantityanddateofdelivery)ofPartyA,etc.;
1.7甲方未上市机型的外形、造型、配色、试模样品（包括试模的素材、涂装样品）等原始技术资料、实物；
OriginaltechnicaldataandactualproductofPartyAconcerningappearance,industrialdesign,colormatching,trialproductofmold(includingelementsoftrialmoldandsampleofcoating)ofthemodelthathavenotenteredmarketyet;
1.8其他甲方拥有知识产权结构设计方案及带有甲方专属LOGO的资料、实物。
OtherstructuredesignschemestowhichPartyAownsintellectualpropertyrights,andinformationandactualproductwithexclusiveLOGOofPartyA;
2、对甲方上述商业秘密，乙方承担以下保密义务：

2.1主动采取加密措施对上述所列及之商业秘密进行保护，防止任何第三者知悉及使用；

2.2保证接触甲方商业秘密的员工不泄露知悉的甲方商业秘密，保证非接触甲方商业秘密的员工不得刺探或者以其他不正当手段（包括利用计算机进行检索、浏览、复制等）获取甲方的商业秘密；
EnsurethatalltheemployeesofPartyBtowhomdisclosureofcommercialsecretsofPartyAistobemadewillnothavethecommercialsecretsdisclosed,andensurethatalltheemployeesofPartyBforwhomthecommercialsecretsofPartyAareinaccessibleshallnotdetectorobtaininillegalmethod(includingbutnotlimitedtosearching,browsingandcopyingoncomputer);
2.3不得向任何第三者披露甲方的商业秘密；
DonotdisclosethecommercialsecretesofPartyAtoathirdparty;
2.4乙方除为履行义务且经甲方事先同意外，均不得为自己或他人之利益直接或间接使用上述机密资料及知识产权；
UnlessforperformingobligationsspecifiedintheagreementandwithpriorconsentfromPartyA,PartyBshallnotdirectlyorindirectlyusetheabovementionedconfidentialinformationandintellectualpropertyrightsforbenefitsofPartyBoranyoneelse;
2.5不得允许（包括出借、赠予、出租、转让等行为）或协助任何第三方使用甲方的商业秘密；
Donotpermit(includinglending,presenting,releasing,transferring,etc.)orassistathirdpartyinusingthecommercialsecretsofPartyA;
2.6乙方了解甲方设有专门的对外发言及讯息披露制度，也承诺严格遵守该发言及讯息披露制度；
PartyBacknowledgesthatPartyAhassetupspecialsystemofpublicstatementandinformationdisclosure,andpromisestostrictlyabidebythissystem;
2.7不论因何种原因终止与甲方合作后，都不得利用甲方的商业秘密为其他与甲方有竞争关系的企业（包括自办企业）服务；
IncaseofterminationofcooperationwithPartyAduetoanyreason,PartyBshallnotusethecommercialsecretesofPartyAtoprovideservicetotheenterpriseincompetitionwithPartyA(includingself-investedenterprises);
2.8乙方所占有、使用、监督或管理的与甲方知识产权有关的资料、机密资料均为甲方财产，应于合作结束时悉数交还甲方，未经许可不得自行复制、传真、利用网络对外传送等。
AlltherelatedinformationandalltheconfidentialinformationconcerningintellectualpropertyrightsofPartyApossessed,used,supervisedorcontrolledbyPartyB,areunderownershipofPartyA,andshallallbereturnedtoPartyAatterminationofcooperation.Alltheinformationareprohibitedtobecopied,faxedandtransmittedthroughnetworkincaseofnoauthorization;
2.9乙方同意甲方商业秘密之界定范围，无论故意或过失、无论以任何形式泄露甲方商业秘密均属违法行为，甲方有权视违法情节和危害程度，采取向警方报案、采取强制措施、追究刑事责任等非常手段。
PartyBagreesonthescopeofcommercialsecretesspecifiedbyPartyA.DisclosureofthecommercialsecretesofPartyAinanyformpurposelyorbyfaultisillegal.PartyAhastherighttoreporttothepolice,takecompulsorymeasuresandclaimforcriminalresponsibilitybasedonillegalconditionandharmextent.
2.10乙方如发现甲方的.商业秘密被泄露或者自己过失泄露秘密，应当采取有效措施防止泄密进一步扩大，并及时向甲方报告。
WhenPartyBfindsthatthecommercialsecretesofPartyAaredisclosedordivulgedforfaultofPartyB,PartyBshalltakeeffectivemeasurestostopfurtherdisclosureandtimelyreporttoPartyA;
2.11本协议规定的商业秘密所有权始终全部归属甲方，乙方不得利用自身对属于甲方商业秘密资料的不同程度的了解申请知识产权，在本协议签订前乙方已依法具有某些所有权者除外。
AllthecommercialsecretesspecifiedinthisagreementareundertheownershipofPartyA,andPartyBshallnotapplyforintellectualpropertyrightsbymakinguseoflearningaboutthecommercialsecretesofPartyAithaslearnttoanyextent,thoselegallyownedbyPartyBbeforesigningthisagreementexcluded.
3、甲方保密义务：Non-disclosureobligationsofPartyA:
对于乙方提供甲方的样品、DEmO板，测试检验工装/软件、图纸、规格书等，甲方亦有责任根据乙方的要求，对等地遵守保密协议。
BasedonrequirementsofPartyBonthesample,DEmOpanel,testandinspectiontool/software,drawing,specificationetc.providedbyPartyBtoPartyA,PartyAaccordinglyhastheobligationtokeepthemconfidentialasperthisnon-disclosureagreement.
4、保密期限Termofnon-disclosure
甲、乙双方确认，乙方的保密义务自本协议签订时开始，直至甲方主动公开该保密信息时止。乙方是否继续与甲方合作，不影响保密义务的履行。
PartyAandPartyBhereofconfirmthatnon-disclosureobligationsofPartyBcomeintoforceonsigningofthisagreementtilltheconfidentialinformationisvoluntarilydisclosedbyPartyA.WhetherPartyBwillcontinuefurthercooperationwithPartyAornotwillnotaffecttheperformanceofnon-disclosureobligationsbyPartyB;
5、违约责任Responsibilityforbreachofcontract
5.1如乙方未履行本协议规定的保密义务，乙方需支付人民币伍拾万元的违约金，违约金不足以弥补甲方损失的，甲方有权要求乙方赔偿损失。
ProvidedPartyBfailstoperformnon-disclosureobligationsstipulatedinthisagreement,PartyBshallpayRmB500,000ascompensationforbreachofcontract.IncasethatthecompensationforbreachofcontractisnotsufficienttocompensateforthelossesofPartyA,PartyAhastherighttoclaimagainstPartyBfortheinsufficiency.
5.2乙方违反保密协议，甲方有权采取包括扣款、停止支付货款、取消供应商资格、依法追究所有损失等一切合法行动维护甲方的所有权益。
IfPartyBviolatesthisnon-disclosureagreement,PartyAhastherighttotakealllegalactionsincludingdeductingpayment,suspendingpayment,cancellingsupplierqualification,legallyclaimingforallthelossesetc.todefendalltherightsandinterestsofPartyA.
6、特别条款SpecialProvisions
PartyBshallproperlykeepthespecialmaterialsofPartyA(e.g.plasticcasing,hardwarecasing,key,lens,battery,touchscreen,earphone,charger,datacable,colordispenser,productmanual,handbagandadvertisingproduct),andshallnothavethemflowintofalseproductmarketorotherplacesharmfultoPartyA.IfitisverifiedthatmaterialshaveflownoutfromPartyB,PartyBshallpayPartyARmB500,000foreachoutflowascompensationforbreachofcontract;incaseofseriousoutflow,PartyAhastherighttomakenopaymentforthepaidbalanceofPartyBandcancelthequalificationofPartyBasasupplier,andPartyBshallbeinvestigatedforlegalresponsibility.
6.2对于上述甲方专用物料，乙方不得以何形式提供给其他个人（甲方样品阶段乙方提供给甲方工程师签样除外）。如甲方查证物料确实从乙方流出，乙方应向甲方支付每次伍万圆人民币的违约金，情节严重者，甲方有权利取消乙方的供应商资格。
PartyBshallnotprovidetheabovementionedspecialmaterialsofPartyAtoanyindividualsinanyform(AtsamplephaseofPartyA,thesampleprovidedbyPartyBtoengineerofPartyAforapprovalisexcluded.).IfthematerialsareproventobeoutflowfromPartyB,PartyBshallpayPartyARmB50,000foreachoutflowascompensationforbreachofcontract;incaseofseriousoutflow,PartyAhastherighttocancelthequalificationofPartyBasasupplier.
7、一般条款GeneralProvisions
7.1本协议若有版本升级，则新版本协议签订后旧版本自动解除。

7.2本协议一式两份，甲乙双方各执一份，自双方签章后生效。

7.3本协议之解释、效力、履行及其他未尽事宜均依中华人民共和国法律为准，任何关于本协议产生的争议，由双方协商解决，协商不成的，双方同意任何一方均向甲方所在地人民法院起诉。

四、劳动报酬

第八条甲方按国家和地方政策规定为乙方办理社会保险有关手续，并承担相应的义务。Article8:PartyAshalldealwiththerelevantformalitiesofsocialsecurityforPartyBaccordingtothecountryandlocalpoliciesandtakeuptherelevantliabilities.
第九条乙方患职业病或因工负伤后的工资和医疗补助执行按照国家和地方的有关法律法规执行。Article9:ThesalaryandMedicarebenefitsofPartyBincaseofoccupationaldiseasesorwork-relatedinjuriesshallbepaidinaccordancewiththerelevantnationalanlocallawsandregulations.
第十条乙方患职业病或因工负伤的待遇按国家的有关规定执行。
Article10:IfPartyBsuffersillnessornon-workrelatedinjury,PartyAshallimplementrelevantstateprovisions.
六、劳动保护、劳动条件和职业危害防护
Laborprotection,laborconditionandoccupationalharmpreventionandcure
第十一条甲方根据生产岗位的需要，按照国家有关劳动安全、卫生的规定为乙方配备必要的安全防护措施，发放必要的劳动保护用品。Article11:PartyAshallequipPartyBwiththenecessarysafetyprotectionmeasuresandissuethenecessarylaborprotectionarticlesaccordingtotheneedsofthepostandtherulesofthelaborsafetyandhygiene.
第十二条甲方应当建立、健全职业病防治责任制度，加强对职业病防治的管理，提高职业病防治水平。
Article12:PartyAshallsetupandoptimizetheoccupationaldiseasecureresponsibilitysystem,enforcethemanagementovertheoccupationaldiseaseandpromotethecureleveloftheoccupationaldisease.
七、劳动合同的解除、终止和经济补偿

第十三条甲乙双方解除、变更、终止、续订劳动合同应当依照《劳动合同法》和国家及省、市等有关规定执行。

Article14：Upontherevocationorterminationofthelaborcontract,PartyAshallissuethecertificationforrevocationorterminationofthelaborcontracttoPartyBanddealwiththerelevantformalitiesforthelaborerwithinfifteen
(15)days.PartyBshallmaketheworkhandoverwithinten(10)daysafterissuancebyPartyAofthecertificateofrevocationorterminationofthelaborcontractRegardinganyeconomiccompensation,theyshallbepaiduponthehandoveroftheworkaccordingtotherulesofthecountry.
八、劳动争议处理
LaborDisputeResolutions
第十五条双方发生争议，任何一方当事人可向甲方所在地的劳动争议仲裁委员会申诉，由仲裁委员会依法调解或裁决。如对仲裁不服，向甲方所在地人民法院起诉，一方当事人期满不起诉但又不执行裁决的，另方当事人可向人民法院申请强制执行。

labourdisputesarbitrationcommissionatpartyA’slocation,subjecttomediationoradjudicationbyarbitrationcommission.Incaseofdisobedienceofarbitrationresult,eitherpartycansuetothecourtatpartyA’slocation.Eitherpartyneitherbringsthelawsuitduringthevalidperiodnorperformstheadjudication;theotherpartyhastherighttoapplyforforcibleexecutiontothecourt.第十六条乙方承诺本合同乙方通讯地址为甲方向乙方寄送邮件信函的地址，甲方按该地址寄送的邮件信函如无法送达被退回即视为该邮件已送达乙方。Article16：PartyBpromiseshiscorrespondenceaddressofthecontractshallbetheaddressthatPartyAsendsthelettersormailstoPartyB.IfanylettersormailsarenotreturnedorundeliverableafterPartyAsendsthem,itisdeemedthattheyhavearrivedatPartyB.第十七条本合同未尽事宜，应按国家现行法律、法规、规章执行。本合同条款如与国家法律、法规、政策相抵触时，以国家规定为准。
Article17：Affairsunmentionedinthiscontractshallbeexecutedaccordingtopresentlaws,statutesandregulationsofthestate.Incaseanycontradictionarisesbetweenthearticlesofthiscontractandlaws,statutesorpoliciesofthestate,thelattershallbereferredtoasfinal.
第十八条本合同一式两份，甲乙双方各执一份，经甲乙双方签字盖章后生效。

3.如乙方逾期支付租金超过十天，则每天以月租金的0.5%支付滞纳金;如乙方逾期支付租金超过十五天，则视为乙方自动退租，构成违约，甲方有权收回房屋，并追究乙方违约责任。
Incasetherentalismorethantenworkingdaysoverdue,PartyBwillpay0.5percentofmonthlyrentalasoverduefineeveryday,iftherentalbepaid15daysoverdue,PartyBwillbedeemedtohavewithdrawnfromthepremisesandbreachthecontract.Inthissituation,PartyAhastherighttotakebackthepremisesandtakeactionsagainstpartyBsbreach.
五、保证金Deposit
Guarantyingthesafetyandgoodconditionsofthepremisesandattachedfacilitiesandaccountofrelevantfeesaresettledonscheduleduringtheleaseterm,partyBwillpay_________topartyAasadepositbefore_____(month)_____(day)_______(year).PartyAwillissueawrittenreceiptafterreceivingthedeposit.
2.除合同另有约定外，甲方应于租赁关系消除且乙方迁空、点清并付清所有应付费用后的当天将保证金全额无息退还乙方。
Unlessotherwiseprovidedforbythiscontract,PartyAwillreturnfullamountofthedepositwithoutinterestonthedaywhenthiscontractexpiresandpartyBclearsthepremisesandhaspaidallduerentalandotherexpenses.
IncasepartyBbreachesthiscontract,partyAhasrighttodeductthedefaultfine,compensationfordamageoranyotherexpensesfromthedeposit.Incasethedepositisnotsufficienttocoversuchitems,PartyBshouldpaytheinsufficiencywithintendaysafterreceivingthewrittennoticeofpaymentfromPartyA.
六、甲方义务ObligationsofPartyA
1.甲方须按时将房屋及附属设施(详见附件)交付乙方使用。
PartyAwillprovidethepremisesandattachedfacilities(seetheappendixoffurniturelistfordetail)onscheduletoPartyBforusing.
Incasethepremiseandattachedfacilitiesaredamagedbyqualityproblems,naturaldamagesordisasters,PartyAwillberesponsibletorepairandpaytherelevantexpenses.
3.甲方应确保出租的房屋享有出租的权利，反之如乙方权益因此遭受损害，甲方应负赔偿责任。
PartyAwillguaranteetheleaserightofthepremises.Otherwise,PartyAwillberesponsibletocompensatePartyBslosses.
七、乙方义务ObligationsofPartyB
1.乙方应按合同的规定按时支付定金、租金及保证金。
PartyBwillpaytherental,thedepositandotherexpensesontime.
2.乙方经甲方同意，可在房屋内添置设备。租赁期满后，乙方将添置的设备搬走，并保证不影响房屋的'完好及正常使用。
PartyBmaydecoratethepremisesandaddnewfacilitieswithPartyAsapproval.Whenthiscontractexpires,PartyBmaytakeawaytheaddedfacilitieswhichareremovablewithoutchangingthegoodconditionsofthepremisesfornormaluse.
3.未经甲方同意，乙方不得将承租的房屋转租或分租，并爱护使用该房屋如因乙方过失或过错致使房屋及设施受损，乙方应承担赔偿责任。
PartyBwillnottransfertheleaseofthepremisesorsubletitwithoutPartyAsapprovalandshouldtakegoodcareofthepremises.Otherwise,PartyBwillberesponsibletocompensateanydamagesofthepremisesandattachedfacilitiescausedbyitsfaultandnegligence.
4.乙方应按本合同规定合法使用该房屋，不得擅自改变使用性质。乙方不得在该房屋内存放危险物品。否则，如该房屋及附属设施因此受损，乙方应承担全部责任。

5.乙方应承担租赁期内的水、电、煤气、电讯、收视费、等一切因实际使用而产生的费用，并按单如期缴纳。

八、合同终止及解除的规定Terminationanddissolutionofthecontract
1.乙方在租赁期满后如需退租或续租，应提前两个月通知甲方，由双方另行协商退租或续租事宜。在同等条件下乙方享有优先续租权。

九、违约及处理Breachofthecontract
1.甲、乙双方任何一方在未征得对方谅解的情况下，不履行本合同规定条款，导致本合同中途中止，则视为该方违约，双方同意违约金为人民币___________元整，若违约金不足弥补无过错方之损失，则违约方还需就不足部分支付赔偿金。

15.装运条款(termsofshipment)：
(1)fob交货方式
卖方应在合同规定的装运日期前30天，以____方式通知买方合同号、品名、数量、金额、包装件、毛重、尺码及装运港可装日期，以便买方安排租船/订舱。装运船只按期到达装运港后，如卖方不能按时装船，发生的空船费或滞期费由卖方负担。在货物越过船弦并脱离吊钩以前一切费用和风险由卖方负担。

19.索赔(claim)：
买方凭其委托的检验机构出具的检验证明书向卖方提出索赔(包括换货)，由此引起的全部费用应由卖方负担。若卖方收到上述索赔后______天未予答复，则认为卖方已接受买方索赔。

21.不可抗力(forcemajeure)：
凡在制造或装船运输过程中，因不可抗力致使卖方不能或推迟交货时，卖方不负责任。在发生上述情况时，卖方应立即通知买方，并在__天内，给买方特快专递一份由当地民间商会签发的事故证明书。在此情况下，卖方仍有责任采取一切必要措施加快交货。如事故延续__天以上，买方有权撤销合同。

22.争议的解决(arbitration)：
凡因本合同引起的或与本合同有关的任何争议应协商解决。若协商不成，应提交中国国际经济贸易仲裁委员会深圳分会，按照申请时该会当时施行的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。
